1. Scope of Work:
DLS Fabrication Ltd, herein referred to as “DLS,” agrees to provide metal fabrication services as outlined in the agreed-upon project specifications.
2. Pricing and Payment:
Payment for the fabrication work shall be made upon completion of the project.
DLS reserves the right to withhold delivery of the fabricated goods until full payment has been received.
Pricing for the fabrication services is as agreed upon in the project quotation or proposal.
3. Delivery and Lead Times:
DLS will provide estimated lead times for completion of the fabrication work and are subject to change.
Delivery of the fabricated goods will be arranged upon receipt of full payment.
4. Quality Assurance:
DLS commits to upholding high-quality standards during the fabrication process.
Any defects or discrepancies in the fabricated goods must be reported within 7 days of delivery or installation for resolution.
5. Changes and Amendments:
Requests for changes or amendments to the fabrication project must be submitted in writing and may result in additional costs and/or delays.
6. Ownership of Goods:
All fabricated goods remain the property of DLS until full payment has been received.
DLS retains the right to repossess any goods in the event of non-payment.
7. Warranties and Guarantees:
DLS provides a warranty on the workmanship of fabricated goods for a period of 10 years from the date of delivery, subject to the terms and conditions outlined herein.
8. Liability and Indemnification:
DLS shall not be liable for any damages or losses arising from the use or misuse of the fabricated goods.
The Client agrees to indemnify and hold DLS harmless against any claims, damages, or liabilities arising from the fabrication project.
9. Confidentiality:
Both parties agree to maintain the confidentiality of any proprietary information exchanged during the project.
10. Termination:
Either party may terminate the agreement in writing if the other party breaches any material term or condition.
Upon termination, DLS reserves the right to pursue legal remedies for any outstanding payments or damages.
11. Dispute Resolution:
Any disputes arising from this agreement shall be resolved through arbitration in Rayleigh, Essex, in accordance with the rules of the Arbitration Act.
12. Acceptance of Terms:
By engaging DLS services, the Client acknowledges and accepts these terms and conditions.
